The website www.centon.com (the "Site") is operated by Centon Electronics Inc. ("Centon," "we," "our," or "us"). Please read these Terms of Service ("Terms") carefully before using the Site or buying from it.

Your access to and use of the Site is conditioned on your acceptance of and compliance with these Terms, which apply to all visitors, users and customers. By accessing or using the Site, you agree to be bound by these Terms. If you disagree with any part of them, you may not use the Site.

These Terms include, by reference, the Terms of Sale below and our Privacy Policy, Refund Policy, Shipping Policy and Warranty Terms and Conditions. Our store is hosted on Shopify, which provides the e-commerce platform used to sell our products.

Products, pricing and information

We try to describe products, specifications and prices accurately, but errors can occur. We reserve the right to correct errors, to change or update information, and to cancel orders affected by an error, at any time and without prior notice, including after an order has been placed. Product availability and prices may change without notice. Purchases are governed by the Terms of Sale below.

Accounts

If you create an account, you are responsible for keeping your login details confidential and for all activity under your account. Please give us accurate and current information.

Content

Our Site allows you to view and download information, text, graphics, videos, manuals, software and other material ("Content"). You are solely responsible for your use of such information. Content on the Site is owned by Centon or its licensors and may not be copied, republished or used commercially without our written permission.

Prohibited uses

You may not use the Site for any unlawful purpose; to infringe the rights of others; to upload or transmit viruses or malicious code; to collect personal information about others; to interfere with the security or operation of the Site; or to scrape or copy the Site by automated means without our permission.

Links to other websites

The Site may contain links to third-party websites or services that are not owned or controlled by Centon. Centon has no control over, and assumes no responsibility for, the content, privacy policies or practices of any third-party websites or services, and shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services.

Disclaimer and limitation of liability

The Site and its Content are provided "as is" and "as available." Except for the limited product warranty in our Warranty Terms and Conditions, Centon makes no warranties, express or implied, about the Site or its Content. To the fullest extent permitted by law, Centon shall not be liable for any incidental, consequential, indirect, special or punitive damages, loss of information or data, loss of revenue or business, or other financial loss arising out of or in connection with your use of the Site.

Indemnification

You agree to indemnify and hold harmless Centon and its officers, employees and agents from any claim or demand arising out of your breach of these Terms or your violation of any law or the rights of a third party.

Termination

We may terminate or suspend access to the Site immediately, without prior notice or liability, for any reason, including if you breach these Terms. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Legal jurisdiction is the County of Orange, California.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion.

Terms of Sale

These Terms of Sale apply to all products bought from Centon Electronics Inc. ("Centon") through centon.com. Orders placed through a Centon quote, purchase order or reseller agreement are governed by the terms on that quote, invoice or agreement where they differ.

Orders

Your order is an offer to buy. We accept it when we ship the product. We may refuse or cancel an order, including after it has been placed, if a product is unavailable, if there is an error in price or product information, or if we suspect fraud. If we cancel an order you have paid for, we refund the full amount.

Prices and payment

Prices are in U.S. dollars and are payable in U.S. dollars. Prices, shipping charges and applicable taxes are shown at checkout. Payment is due when you place your order.

Shipping, title and risk of loss

Products ship FOB origin. Shipping options and charges are described in our Shipping Policy. Any claim for shortage, damage or shipment error must be made in writing within 7 days of receipt, by email to support@centon.com.

Returns and refunds

Products bought on centon.com may be returned within 14 days of delivery as described in our Refund Policy. Otherwise all sales are final, except for warranty returns authorized under our RMA procedure.

Warranty

Centon products carry a limited warranty to the original purchaser. Warranty length depends on the product's series (Personal, Professional, Optima or Optima+) and its product type. Centon's sole obligation is, at Centon's option, to repair, replace or credit the value of the product, based on the lower of the actual purchase price or the market price on the date the defective product is returned. Proof of purchase with date is required. Full terms are in our Warranty Terms and Conditions.

Intended use

Centon products are not intended for use in life support, critical care, medical, safety equipment or similar applications where product failure could result in loss of life or personal or physical harm, or in any military or defense application, or any government procurement to which special terms may apply.

Data

Centon is not liable for any damage to or loss of any program or data, and is not responsible for data recovery or backup. Please back up your data before installing, using or returning any storage product.

Limitation of liability on orders

Centon's maximum liability on any order is limited to the purchase price on the invoice. Centon shall not be liable to any person or entity for any incidental, consequential, indirect, special or punitive damages of any kind, loss of information or data, loss of revenue, loss of business, or other financial loss arising out of or in connection with the sale or use of Centon products or services.

Export

Products are subject to U.S. export control laws. You agree not to export or re-export products in violation of those laws.
